1. About LeTip of Orange

LeTip of Orange is a professional business networking and referral organization. The Site is provided to share information about the chapter, its members, events, community involvement, and related opportunities, and to allow visitors to contact us regarding membership, meetings, or general inquiries.

LeTip of Orange does not guarantee:

  • any referral, introduction, lead, sale, or business opportunity;
  • the accuracy, completeness, or current status of member listings or third-party information;
  • the quality, safety, legality, suitability, or performance of any member’s or third party’s products or services;
  • that participation in LeTip of Orange, attendance at meetings, or use of the Site will produce any specific business result.

Any decision to contact, hire, work with, or rely on any member or third party is solely at your own risk.

5. Member Directory and Third-Party Information

The Site may display names, biographies, categories, contact details, website links, and related information for members, officers, directors, sponsors, or affiliated businesses.

We may update, modify, suspend, or remove listings at any time without notice. We do not warrant that any listing is accurate, complete, or up to date. Inclusion on the Site does not constitute an endorsement, certification, guarantee, or warranty by LeTip of Orange.

If you are a listed member or representative and would like your information corrected or removed, please contact us using the contact information below.

6. Contact Forms and User Submissions

If you submit information through a contact form, inquiry form, membership interest form, email, or any other feature on the Site, you agree that:

  • the information you provide is accurate and not misleading;
  • you will not submit confidential, proprietary, unlawful, defamatory, or infringing material;

LETIP OF ORANGE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, LETIP OF ORANGE DOES NOT WARRANT THAT:

  • THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE SITE OR ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT;
  • DEFECTS WILL BE CORRECTED;
  • THE SITE OR ANY SERVER USED TO MAKE IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LETIP OF ORANGE, ITS OFFICERS, DIRECTORS, MEMBERS, VOLUNTEERS, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LETIP OF ORANGE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless LeTip of Orange, its officers, directors, members, volunteers, affiliates, agents, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to:

  • your use of the Site;
  • your violation of these Terms;
  • your violation of any law or the rights of a third party;
  • any information or material you submit through the Site.

14. Termination

We may suspend, restrict, or terminate your access to the Site, in whole or in part, at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

15. Governing Law

These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

16. Venue

Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of such courts.

We may revise these Terms from time to time. The updated version will be posted on this page with a revised “Effective Date.” By continuing to use the Site after updated Terms are posted, you agree to the revised Terms.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices posted on the Site, constitute the entire agreement between you and LeTip of Orange regarding the Site.
